Lawyers working in Saga can now bring Emma's due diligence findings straight into the SPA and other transaction documents they are drafting.

‍GHENT, Belgium — November 3, 2026 – Emma Legal, the AI-powered legal due diligence workspace built for M&A, announced an MCP connection with Saga, the agentic legal AI platform where legal teams across Europe advise, negotiate, and draft. Thanks to this connection, lawyers can draw Emma's due diligence findings directly into Saga and work with them as the deal takes shape.

From red flag to SPA clause

Take a buy-side deal team in Europe. The seller’s first draft of the SPA usually treats the whole data room as disclosed. Any issue the buyer’s team misses is then deemed known, and the buyer cannot claim for it under the warranties. So for every risk it finds but cannot fully assess, the buyer needs separate protection: a specific indemnity, or a specific warranty that the disclosure does not qualify.

Today, that means working through the due diligence report on one screen and the SPA on the other, finding by finding. With Emma connected, lawyers can rely on Emma's insights while drafting in Saga. Emma has already flagged the risks in the data room, and Saga carries them into the deal documents:

  • "Draft a specific indemnity for the tax exposure Emma flagged." A first draft comes back, grounded in Emma's findings. Lawyers review it and decide how best to cover the exposure in the next draft of the SPA.
  • "Emma's follow-up task says we need a waiver from the key customer. Draft the waiver request letter." Emma flagged a change-of-control consent right in the key customer's contract, on page 40 of a late upload. Saga drafts the waiver request from that clause and its context, ready for the seller's counsel.
  • "Turn Emma's red flags into negotiation points for our SPA mark-up." Saga prepares the issues list, with each point traced back to the finding behind it.

"Drafting is only as strong as the diligence behind it," said Rick van Esch, Co-founder and CEO of Emma Legal. "Together with Saga, our clients can carry what Emma finds straight into the next steps of the deal, with the same accuracy and quality from data room to signing. Emma finds it. Saga drafts it. Lawyers decide."

Diligence depth, where the drafting happens

Emma connects live to leading virtual data rooms, including Datasite, SS&C Intralinks, Ideals and Virtual Vaults. It runs firm-specific checks and playbooks across every relevant document and tracks the information request list throughout the deal. Through the connection, Saga users can work with:

  • Red flags and risk findings, linked to the supporting passage in the source document
  • Checks run across the data room, including the firm's own playbooks
  • Information request list (IRL) status, showing what has been delivered and what is still missing
  • Follow-up tasks raised during review
  • Connect to the data room providers to always be in sync with the opposing party

With Emma and Saga, lawyers no longer have to switch between the data room, the due diligence findings and the transaction documents.

“M&A lawyers and bankers have been waiting for AI that works where the actual work happens. Lawyers can now put Saga’s AI to work on their Emma Legal documents without leaving their workflow or downloading a single file. Emma Legal’s permissions stay in charge, which is exactly the level of trust legal teams need. The best AI is the one that comes to your documents, not the other way around.” Tjeu Cox, Co-founder of Saga.

Availability

The connection is available today for firms using both Emma and Saga. Saga administrators can add Emma from the admin panel, after which each lawyer connects their own Emma account. See the setup guide.
